CONSTITUTION and BYLAWS

 

                                                                                                                       

ARTICLE I

 

NAME & PURPOSE

 

            SECTION 1.1.  Name.  This community association shall be known as the Auburn Booster Club.

 

            SECTION 1.2.  Purpose.  The association’s purpose is to promote educational, athletic, civic and social purposes for Rockford Auburn High School students.  All such support efforts shall be for charitable or educational purposes as defined by Section 501(c)(3) of the Internal Revenue Code of 1986 (or the corresponding provisions of any future United States Internal Revenue Law).

 

            No part of the earnings of the association shall inure to the benefit of any member, director, or officer of the association or to the benefit of any private individual (except that reasonable compensation may be paid for services rendered to or for the association in connection with one or more of its purposes), and no member, director, or officer of the association or any private individual shall be entitled to share in the distribution of any of the association’s assets upon dissolution.

 

            No substantial part of the activities of the association shall consist of the carrying on of propaganda, or otherwise attempting to influence legislation, and the association shall not participate or intervene (including by publication or distribution of statements) in any political campaign on behalf of any candidate for public office.

 

            Notwithstanding any other provision of these By-Laws, the association shall not conduct or carry on any activities not permitted to be conducted or carried on by a association exempt under Section 501(c)(3) of the Internal Revenue Code and its Regulations as they now exist or as they may be hereafter amended, or by any association to which contributions are deductible under Sections 170 (c)(2), 2055(a)(2) and 2522(a)(2) of such Code and Regulations as they now exist or as they may be hereafter amended.

 

            Upon the dissolution of the association or the winding up of its affairs, the assets of the association shall be distributed exclusively to charitable or educational organizations which would then qualify for exemption under Section 501(c)(3) of the Internal Revenue Code and its Regulations as they now exist or as they may be hereafter amended, or exclusively for public purposes to a governmental unit as defined in Section 170(c)(1) of the Internal Revenue Code and its Regulations as they now exist or as they may be hereafter amended, or partly to said organizations or governmental units as the Board of Directors of the association shall determine.

ARTICLE II

 

MEMBERSHIP & DUES

 

            SECTION 2.1.  Membership shall be open to those persons interested in aiding and promoting the mission of the Booster Club.

 

            SECTION 2.2.  Membership shall provide any and all benefits to all members and their respective immediate families.

 

            SECTION 2.3.  Members of this club shall pay annual dues, in the amount to be set by the Board of Directors.

 

            SECTION 2.4.  The membership shall be entitled to vote on any matter submitted to the club membership for a vote except requests for financial assistance.  All requests for financial assistance may only be approved by a two-thirds majority of the Board of Directors.

 

            SECTION 2.5.  The membership and fiscal year shall be July 1 - June 30.

 

 

ARTICLE III

 

MEETINGS & QUORUM

 

            SECTION 3.1. The Annual Meeting of the Members of the Auburn Booster Club will be held each May.

 

            SECTION 3.2.  Regular meetings shall be held on a fixed monthly schedule to be established by the Board of Directors.

 

            SECTION 3.3.  Special meetings shall be held at the call of the President or any three Board Members.

 

            SECTION 3.4.  Regular meetings during June and July are suspended, unless otherwise called by the President for special events.

 

            SECTION  3.5.     Attendance of 6 members shall constitute a quorum at any meeting.

 

          

 

 

 

 

ARTICLE IV

 

ELECTIONS

 

            SECTION 4.1.  Any member who is at least 18 years of age may vote in any election and may be nominated for any office.

 

            SECTION 4.2.  Board of Director members shall be elected annually at the regular May meeting.  Special elections may be called by the Board of Directors to fill vacancies as needed.

 

            4.2.1   Elections shall be by voice vote unless a secret ballot is requested by at least two members present at the meeting.

 

                    4.2.2  In the event of there are more qualified candidates to fill Board seats than there are vacancies, candidates shall be selected in a descending order of votes received until all vacancies are filled.

 

 

ARTICLE V

 

BOARD OF DIRECTORS

 

           SECTION 5.1.  Board of Directors.

 

                   5.1.1.  Composition.  The minimum number shall be 3 and the maximum number shall be 12.

 

                   5.1.2.  Tenure.  Each term shall begin the July after the Director is elected and last for one (1) year or until a successor is elected.

 

                        5.1.3.  Duties.

                                   

            5.1.3.1.   Promote and increase membership in the organization.

                                   

                                    5.1.3.2.   Generally oversee the affairs of the Auburn Booster Club.

 

                                    5.1.3.3.   Provide leadership to the Members.

 

                                    5.1.3.4.   Directors shall attend all meetings.

 

                                    5.1.3.5.   Directors shall be active Members.

 

                        5.1.3.6.  Directors shall vote on all items brought before the Board for vote.

 

                                    5.1.3.7.   Directors shall elect the association’s Officers.

 

                       

                        5.1.4.  Vacancy.  Should any Director fail to complete his or her term for any reason, the Officers of the association are authorized to appoint a successor to complete the term.

                       

                        5.1.5.   Quorum.  A majority of the currently serving Directors shall constitute a quorum at any meeting.

 

 

ARTICLE VI

 

OFFICERS AND THEIR DUTIES

 

            SECTION 6.1.  President.  The President shall:

 

                        6.1.1.  Be the Chief Executive Officer and operate the business of the Club on a day-to-day basis.

 

                        6.1.2.  Preside at all meetings of the Members.

 

                        6.1.3.  Be an ex-officio member of all committees, except the nominating committee.

 

                        6.1.4.  Appoint all standing committees and any special committees necessary.

 

                        6.1.5.  Appoint all committee chairpersons subject to the approval of the Board of Directors.

 

                        6.1.6.  In the case of vacancies on a committee, submit to the Board for their approval, new committee members.

 

            SECTION 6.2.  Vice-President.  The Vice-President shall:

 

                        6.2.1.  Preside at meetings in the absence of the President.

 

                        6.2.2.  Attend all finance committee meetings.

 

                       

            SECTION 6.3.  Secretary.  The Secretary shall:

 

                        6.3.1.   Be responsible for taking attendance at meetings and declaring a quorum.

 

                        6.3.2   Record the minutes of meetings.

                        6.3.3   Issue all notices of meetings.

                       

                        6.3.4   Conduct all necessary correspondence common to the office.

 

            SECTION 6.4.  Treasurer.  The Treasurer shall:

 

                        6.4.1   Ensure that all monies of the Club are deposited in the designated bank.

 

                        6.4.2   Keep an accurate account of all receipts and disbursements.

 

                        6.4.3   Pay all bills as approved by the Board of Directors.

 

                        6.4.4   Submit a financial report at each regular meeting.

 

                        6.4.5   Prepare a year-end statement to be presented at the May meeting.

 

                        6.4.6.  Carry forward a balance to the following year an amount to be specified yearly by the Board of Directors.

 

6.4.7.   Submit all applicable state and federal forms/reports as required on a timely basis.

 

 

ARTICLE VII

 

COMMITTEES AND THEIR DUTIES

 

            SECTION 7.1  Concessions.  The committee shall:

 

                        7.1.1.   Be responsible for the operations of all concessions at all functions sponsored by the Club.

 

                        7.1.2.  Make all decisions as to menu pricing and procurement of all supplies.

 

                        7.1.3.   Be responsible for all equipment belonging to the Booster Club.

 

                        7.1.4.              Be authorized to maintain a working cash fund at an amount to be determined by the Board of Directors.

 

         Special Note: Because of the complexity of this position it shall take a 4/5 vote of the Board of Directors to remove this chairperson.

 

            SECTION 7.2.  Membership.  The committee shall:

                                   

                        7.2.1.  Conduct drives to encourage and solicit membership.

 

                        7.2.2   Provide up-to-date membership lists for the use of the officers and the committee members.

 

           SECTION 7.3.  Public Relations.  The committee shall:

 

                        7.3.1.  Provide for community-wide publicity.

 

                        7.3.2.  Contribute regularly to any newsletters published by the school.

 

                        7.3.3.  Promote Club events.

 

            SECTION 7.4.  Special Events.  The committee shall:

 

                        7.4.1.  Organize special events as authorized by the Club.

 

                        7.4.2.  Annual events shall include, but not be limited to:

 

                                    7.4.2.1.  Assisting with freshman orientation.

 

                                    7.4.2.2.  Assisting with School Choice Night.

 

                                    7.4.2.3.  Sports Banquets.

 

                                    7.4.2.4.  Events for the Arts.

 

                                    7.4.2.5.  Spring Semester Dance.

 

            SECTION 7.5.   Finance/Fund Raising.

 

                        7.5.1.  The committee shall be comprised of at least 4 other members, one who shall serve as chair.

 

                        7.5.2.  The committee shall:

                                   

                                    7.5.2.1.  Coordinate all fund raising activities, except concessions.

 

                                    7.5.2.2.  Coordinate all spirit item sales.

 

            SECTION 7.6.   Nominating.  The committee shall:

 

                        7.6.1.  Consist of at least 3 members appointed by the President.

                       

                        7.6.2.  Be named at least 30 days prior to the election.

 

                        7.6.3.  Select candidates for offices at the annual May meeting.

 

                        7.6.4.   Have its vacancies filled by the President, subject to approval by the Board of Directors.

 

 

 

 

ARTICLE VIII

 

AMENDING BYLAWS

 

            This Constitution and Bylaws of the Auburn Booster Club may be amended by a two-thirds vote of the Regular Members present and entitled to vote provided that such amendments have been presented to the members of the Club at least two weeks in advance of the meeting at which the vote is taken.  Written notice of the purpose of the meeting is required to all Members.  For purposes of this provision, a posting on the Booster Club web-site shall constitute written notice.

 

 

ARTICLE IX

 

GENERAL

 

            SECTION 9.1. Disbursement of Funds shall be made with the Board of Directors’ approval, after presentation to the membership in attendance.

 

            SECTION 9.2.  Advice and suggestions of ex-officio members are to be considered in all decisions.

 

            SECTION 9.3. Fund-raising events undertaken by the Booster Club shall be on an ongoing basis unless voted against by the membership.

 

            SECTION 9.4. Fund-raising projects shall not conflict with nor be in conflict with other groups or organizations within Auburn High School.

 

            SECTION 9.5. Any property or equipment for which the Auburn Booster Club is responsible, shall not be used by other groups or organizations without the approval of the Board of Directors or their Designee.  An inventory of all equipment shall be taken by each committee each year.
